Terms of Service

1. Agreement to terms
By accessing or using Electrolyse ("the Service"), operated by VACSO ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.
2. Description of service
Electrolyse is an AI-powered brand management platform that provides tools for product photography generation, content creation, asset management, and brand profile management. The Service is currently in private beta and access is granted at our discretion.
3. Eligibility
You must be at least 18 years of age and a resident of Australia or another jurisdiction where use of the Service is lawful. By using the Service, you represent that you meet these requirements.
4. Account and access
- Access to the Service requires authentication via Google OAuth.
- You are responsible for maintaining the security of your account.
- We reserve the right to suspend or terminate access at any time, with or without cause.
- During the beta period, the Service is provided on an invitation-only basis.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes on intellectual property rights of others
- Attempt to gain unauthorised access to any part of the Service
- Use the Service to generate content that is deceptive, harmful, or violates any applicable law
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated scripts or bots to access the Service without permission
6. Intellectual property
Your content: You retain ownership of all content you upload to the Service (product images, brand assets, text). You grant us a limited licence to process this content solely for the purpose of providing the Service.
Generated content: Content generated by the AI features of the Service (images, copy, prompts) is owned by you, subject to the terms of the underlying AI providers used in generation.
Our content: The Service, including its design, code, and branding, is owned by VACSO and protected by Australian and international intellectual property laws.
7. AI-generated content disclaimer
Content generated by Electrolyse is produced using artificial intelligence and may contain inaccuracies or imperfections. You are responsible for reviewing all generated content before publishing or using it commercially. We do not guarantee that AI-generated content will be free from errors, biases, or intellectual property issues.
8. Third-party services
The Service integrates with third-party platforms including Shopify, Google Drive, Cloudinary, and AI providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability or conduct of third-party services.
9. Limitation of liability
To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010):
- The Service is provided "as is" and "as available" without warranties of any kind.
- We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
- Our total liability is limited to the amount you have paid us in the 12 months preceding the claim.
Nothing in these terms excludes, restricts, or modifies any consumer guarantee or right under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
10. Indemnification
You agree to indemnify and hold harmless VACSO from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these terms.
11. Beta service
During the beta period, the Service may be unstable, contain bugs, or undergo significant changes. We may modify, suspend, or discontinue any feature at any time without notice. Beta access does not guarantee access to future versions of the Service.
12. Termination
We may terminate or suspend your access to the Service at any time for any reason. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.
13. Governing law
These terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
14. Changes to terms
We may update these terms from time to time. We will notify users of material changes by posting the updated terms on this page. Continued use of the Service after changes constitutes acceptance of the revised terms.
